Terms of Service

By accessing or using OpsAgent, you agree to these Terms of Service. Please read them carefully. If you do not agree, do not use our service.

1. Parties and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer" or "User") and MSApps Mobile Applications Ltd. ("MSApps", "OpsAgent", "we", or "us"), governing your access to and use of the OpsAgent platform and services (the "Service").

By clicking "I agree," creating an account, or using the Service, you represent that you have authority to bind yourself or your organization to these Terms.

2. The Service

OpsAgent provides AI-powered business automation tools including lead management, sales outreach, recruiting automation, financial workflow assistance, and content generation. The specific features available to you depend on your subscription plan.

We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice. Material changes to core functionality will be communicated at least 30 days in advance.

4. Cancellation and Refunds

You may cancel your subscription at any time from your account settings or by contacting michal@opsagents.agency. Cancellation takes effect at the end of the current billing period — you retain access until then.

We offer a 14-day money-back guarantee for new subscribers. Refund requests made within 14 days of initial signup will be honored in full. No refunds are issued for partial billing periods after the guarantee window.

6. Intellectual Property

OpsAgent and all associated software, designs, and content are owned by MSApps and protected by applicable intellectual property laws. You retain ownership of all data and content you submit to the Service. By submitting content, you grant us a limited license to process it solely to provide the Service.

Nothing in these Terms transfers ownership of our intellectual property to you, nor do you transfer ownership of your data to us.

7. Service Level Agreement (SLA)

We commit to the following uptime targets for the OpsAgent platform:

SLA credits are the sole and exclusive remedy for service availability failures.

8. Confidentiality

Each party agrees to keep confidential any non-public information of the other party disclosed in connection with the Service, and to use such information only to fulfill obligations under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, MSAPPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MSAPPS' TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL MSAPPS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow limitation of implied warranties or liability for certain damages — in those cases, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless MSApps and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate the agreement by cancelling the subscription. We may terminate or suspend access immediately, without notice, if you materially breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, liability limitations, and dispute resolution) will survive.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes may be submitted to binding arbitration or the courts of competent jurisdiction in the jurisdiction of MSApps' principal place of business.

14. Changes to These Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or an in-product notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
